Terms of Service

Welcome to GlowPro ("we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the GlowPro mobile application available on iPhones and iPads (the "App"), our website at www.glowpromd.com (the "Site"), and all related services provided by GlowPro Labs, LLC, a limited liability company formed in the State of Delaware with its principal place of business at 5350 Bridge Street, Suite 2406, Tampa, FL 33611 (collectively, the "Services"). By accessing or using the Services, you ("you" or "User") agree to be bound by these Terms. If you are using the Services on behalf of a business or entity ("Customer"), you represent that you have the authority to bind that entity to these Terms.

These Terms form a legally binding agreement between you and GlowPro Labs, LLC. Please read them carefully. If you do not agree with any part of these Terms, you must not access or use the Services.

1. Eligibility

You must be at least 18 years old or the age of majority in your jurisdiction to use the Services. By using the Services, you represent and warrant that you meet this eligibility requirement and that you are not barred from using the Services under applicable law. The Services are intended for use only by residents of the United States.

2. Description of Services

GlowPro is a B2B SaaS platform designed for healthcare practitioners, including those in aesthetics, dermatology, and related fields. The Services enable Users to:

• Capture standardized before-and-after photos using an in-app camera interface with customization features such as lighting adjustments, pose guides, and annotations.
• Organize and manage client photos, associated notes, and forms in secure, HIPAA-compliant storage.

The Services are provided "as is" and "as available." We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time without notice.

3. Accounts and Security

To access certain features of the Services, you must create an account ("Account"). You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the confidentiality of your login credentials.
• Notify us immediately of any unauthorized use of your Account.

You are responsible for all activities that occur under your Account. We reserve the right to suspend or terminate your Account for any reason, including suspected violation of these Terms.

4. User Content and License

You may upload, submit, or transmit content through the Services, including client photos, notes, and forms ("User Content"). You represent and warrant that:

• You own or have the necessary rights to use and share User Content.
• User Content does not violate any third-party rights, including privacy or intellectual property rights.
• For client-related User Content, you have obtained appropriate consents (e.g., HIPAA-compliant authorizations) from clients to handle Protected Health Information ("PHI").

By submitting User Content, you grant GlowPro Labs, LLC a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, display, and process User Content solely to provide the Services. You retain ownership of User Content but acknowledge that we may anonymize or aggregate it for analytics or improvement purposes, in compliance with HIPAA best practices.

5. Prohibited Conduct

You agree not to:

• Use the Services for any unlawful purpose or in violation of applicable laws, including HIPAA.
• Upload malicious code, viruses, or harmful materials.
• Interfere with the Services or other users' access.
• Attempt to gain unauthorized access to the Services or others' data.
• Use automated tools to scrape or extract data without permission.
• Use the Services outside the United States or process personal data of non-U.S. residents.

We may monitor use of the Services for compliance and reserve the right to remove any User Content that violates these Terms.

6. Subscriptions and Payments

The Services are offered on a subscription basis ("Subscription"). Subscription plans, fees, and terms are detailed at signup or on the Site. By subscribing, you authorize us (or our third-party payment processors) to charge your payment method on a recurring basis until cancellation.

• Free Trials: If offered, trials are limited and may convert to paid Subscriptions automatically.
• Fee Changes: We may adjust fees with 30 days' notice.
• Taxes: You are responsible for all applicable taxes.
• Refunds: Subscriptions are non-refundable except as required by law.

All payments are processed securely via third-party providers. You agree to their terms.

7. HIPAA Compliance

GlowPro Labs, LLC follows HIPAA best practices to protect PHI, including storing all photos and files in HIPAA-compliant storage. We are a "HIPAA light" organization and do not execute Business Associate Agreements ("BAAs"). You are responsible for:

• Ensuring your use complies with HIPAA and obtaining client consents for PHI.
• Configuring the Services appropriately (e.g., access controls).

We implement administrative, physical, and technical safeguards, including encryption and access controls, to protect PHI. However, you acknowledge that no system is 100% secure.

8. Termination

You may terminate your Subscription at any time via the App or Site settings. Upon termination:

• Access ends at the end of the current billing period.
• We may retain User Content for up to 365 days for backup purposes, after which it will be deleted unless required by law.

We may terminate or suspend your access immediately for violations of these Terms. Sections that by nature should survive termination (e.g., IP rights, liability) will do so.

9. Disclaimers and Limitations of Liability

THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

IN NO EVENT SHALL GLOWPRO LABS, LLC BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, PROFITS, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify and hold GlowPro Labs, LLC harmless from claims arising from your use of the Services or User Content.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the state or federal courts located in Delaware. You waive any objections to venue or jurisdiction.

11. Changes to Terms

We may update these Terms at any time. Continued use after changes constitutes acceptance. We will notify you via email or in-App notice for material changes.

12. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement. If any provision is invalid, the remainder remains enforceable. No waiver is a continuing waiver. You may not assign these Terms without our consent; we may assign freely.
